Due to regulatory requirements when completing and maintaining Limited Company records by the Company Secretary, we have created a specialist department within Morgan Griffiths to deal with these requirements on behalf of our clients.
Examples of these requirements are:
- The need for a Form 42 Employment Related Securities – Reportable Event Disclosures required by 6th July annually. This report deals with share issues, share transfers and employee share scheme purchase. All limited companies have a requirement to disclose these events. If the Form 42 is late or not received at all by the Inland Revenue then there is a fine of £300 and £60 per day thereafter.
- The filing and completion of the Annual Return each year. This return deals with shareholdings, directorships and other statutory company information. Companies House have enhanced the system introducing the Electronic Lodgement System to enable swift and secure transfer of data reducing the risk of returns being mislaid in the postal system. This new system will eventually replace paper mail.
- The maintenance of the company registers in accordance with the Company Act 1985. These registers include Register of Applications and Allotments, Register of Transfers, Register of Members, Register of Directors, Register of Secretaries, Register of Interests, Register of Charges, Register of Sealings, Minutes of Meetings, Share Certificates and documents lodged with the Registrar of Companies.
Our Company Secretarial department reviews each limited company’s records to check if a Form 42 report is necessary, completes the required documentation and files with the Inland Revenue on the company’s behalf before the deadline.
We will also compare the information held on our files with that held at Companies House, complete the documentation required to advise of any changes, update the Annual Return and electronically file on your behalf.
Our Company Secretarial department maintains and updates the company registers on your behalf, discharging your legal and statutory responsibilities many of which are compliance issues and changes to procedures introduced by the Government over the last five years.
All these services are provided for an annual fee of £125 per company. This includes the disbursement for the filing fee paid directly to Companies House on your behalf.
